1. Agreement to Terms

By accessing or using the HumanMap platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Service" refers to the HumanMap platform, including the website at humanmap.fr, the web application, APIs, and all related services.
  • "User" or "You" refers to the individual or entity accessing or using the Service.
  • "Account" refers to the registered account you create to access the Service.
  • "Organizational Data" refers to any employee information, team structures, organizational charts, and related content you create, upload, or store through the Service.
  • "Subscription" refers to your selected plan (Free, Starter, or Professional) and associated payment terms.
  • "We", "Us", or "HumanMap" refers to HumanMap, based in Paris, France, the operator of the Service.

3. Description of Service

HumanMap is a cloud-based platform for creating, managing, and visualizing organizational charts and employee data. The Service includes:

  • Organizational chart creation, editing, and visualization tools
  • Employee and team data management
  • Data import (CSV) and export capabilities
  • Collaboration features and role-based access controls
  • Map sharing with public, authenticated, or password-protected access
  • API access (available on select plans)

4. Account Registration and Security

To use the Service, you must create an Account. By registering, you agree to:

  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Provide accurate, complete, and current registration information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately at [email protected] of any unauthorized access to your Account
  • Accept responsibility for all activity that occurs under your Account

We reserve the right to refuse registration or suspend accounts that violate these Terms.

5. Subscription and Payment

5.1 Plans

We offer the following plans: a Free plan available indefinitely at no cost with no credit card required, and paid plans (Starter and Professional) with additional features. Plan details and pricing are available on our website and may be updated from time to time.

5.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All prices are displayed in the currency indicated at checkout and are exclusive of applicable taxes
  • A valid payment method is required for paid plans
  • Payments are processed securely through Stripe. We never store your full payment card details
  • We may suspend access to the Service for accounts with overdue payments
  • Price changes will be communicated at least 30 days in advance

6. Free Trial

Paid plans include a 14-day free trial period. A valid payment method is required to start the trial. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. You will not be charged during the trial period.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings. For monthly plans, cancellation takes effect at the end of the current billing month. For annual plans, cancellation takes effect at the end of the current billing year. You will retain access to paid features until the end of your current billing period.

7.2 Refunds

Refund requests are handled on a case-by-case basis at our discretion. To request a refund, please contact us at [email protected] with details of your situation. We are not obligated to provide pro-rata refunds for annual plans.

7.3 Downgrade to Free

After cancellation, your account will automatically revert to the Free plan. Features exclusive to paid plans will no longer be accessible, but your data will be preserved.

8. Acceptable Use

8.1 Permitted Uses

You may use the Service for legitimate business purposes, including:

  • Creating and managing organizational charts for your organization
  • Storing and organizing employee and team information
  • Collaborating with authorized team members and stakeholders
  • Exporting and sharing organizational data for business purposes

8.2 Prohibited Uses

You agree not to:

  • Violate any applicable local, national, or international laws or regulations
  • Upload, store, or transmit any data that infringes on third-party intellectual property rights
  • Upload malicious code, viruses, or any material designed to compromise the security or integrity of the Service
  • Attempt to gain unauthorized access to the Service, other user accounts, or related systems
  • Share account credentials with unauthorized parties or allow third parties to use your Account
  • Use the Service for discriminatory, harassing, or otherwise harmful purposes
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use automated means (bots, scrapers) to access the Service without our written permission
  • Resell, sublicense, or redistribute the Service without our written authorization
  • Exceed reasonable usage limits or intentionally abuse system resources

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge and agree that:

  • You retain full ownership of your Organizational Data at all times
  • You are the data controller for any employee or personal data you upload to the Service
  • HumanMap acts as a data processor, processing your Organizational Data solely to provide and improve the Service
  • You are responsible for ensuring you have the legal right to upload and process employee data, including obtaining any necessary consents under applicable data protection laws (such as GDPR)
  • You are responsible for the accuracy and lawfulness of all data you upload
  • You will comply with all applicable data protection regulations in your use of the Service

10. Intellectual Property

10.1 HumanMap's Rights

HumanMap retains all rights, title, and interest in and to the Service, including but not limited to:

  • All software, algorithms, source code, and user interface designs
  • Trademarks, service marks, logos, and branding
  • Documentation, help content, and support materials
  • All improvements, updates, and derivative works

Nothing in these Terms grants you any right to use HumanMap's trademarks or branding without our prior written consent.

10.2 Your Rights

You retain all ownership rights to your Organizational Data and content. By using the Service, you grant HumanMap a limited, non-exclusive, non-transferable license to process, store, display, and transmit your data solely as necessary to provide and improve the Service. This license terminates when you delete your data or close your Account.

11. User Content and Data Ownership

All Organizational Data you create, upload, or store through the Service remains your property. HumanMap does not claim any ownership rights over your content. We will not access, use, or share your Organizational Data for any purpose other than providing the Service, unless required by law or with your explicit consent.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance (which we will endeavor to announce in advance), unscheduled maintenance to address urgent issues, technical failures, network issues, or circumstances beyond our control. No specific Service Level Agreement (SLA) is provided unless separately agreed in writing.

13. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, HumanMap disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet your specific requirements, that it will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

  • HumanMap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
  • HumanMap's total aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) EUR 100 or (b) the total amount you paid to HumanMap in the 12 months preceding the event giving rise to the claim
  • These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless HumanMap, its officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights, including intellectual property or privacy rights
  • Any Organizational Data you upload, store, or process through the Service
  • Any data protection violation arising from your use of the Service

16. Termination

16.1 Termination by You

You may close your Account at any time through your account settings or by contacting us at [email protected]. Upon termination, your subscription (if any) will be cancelled at the end of the current billing period.

16.2 Termination by HumanMap

We may suspend or terminate your Account immediately if:

  • You materially breach these Terms
  • You fail to pay applicable fees after notice and a reasonable cure period
  • Your use of the Service poses a security risk or adversely affects other users
  • We are required to do so by law or legal process

16.3 Effects of Termination

Upon termination, your right to access the Service ceases immediately (except for the data export period described in Section 17). Sections of these Terms that by their nature should survive termination will remain in effect, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

17. Data Export and Deletion

Upon Account termination, you will have 30 days to export your Organizational Data through the Service's export features. After this 30-day period, we will delete your Organizational Data in accordance with our data retention policy as described in our Privacy Policy. Certain data may be retained longer where required by applicable law (such as billing records for tax purposes).

18. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, civil unrest, power failures, internet outages, cyberattacks, or failures of third-party service providers.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service. Non-material changes (such as typographical corrections or clarifications) may take effect immediately. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your Account.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. All remaining provisions shall continue in full force and effect.

21. No Waiver

The failure of HumanMap to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by HumanMap to be effective.

22. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. In the event of a dispute, the parties agree to first attempt to resolve the matter informally by contacting [email protected]. If the dispute is not resolved within 30 days of the initial contact, either party may submit the dispute to the exclusive jurisdiction of the courts of Paris, France.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and HumanMap regarding the use of the Service. They supersede all prior agreements, representations, and understandings, whether written or oral.
